Tell him ok on $10.3k as long as it passes a ppi with flying colors.
I am assuming the ppi will turn up easily $1k in recommended repairs based on the mileage. This will allow you more negotiating room.

At that price, I'd be scared the dealer knows something that's not obvious on first blush. PPI by an Indie of your choice strongly recommended.
I paid $14K + TTL back in April for what looks like the same car in Imolarot minus Nav, w/83K miles, and a later '05 build date (leather instead of alcantara). Thought my price seemed to be fair based on the 3+ years I'd been tracking E46 Verts (wasn't looking exclusively for ZHP).
FWIW, I didn't get a PPI. So far, I've found an unvented battery, stuck thermostat, disconnected oil level sensor, damaged threads on oil drain plug, auto up doesn't work for driver's window (switch or GM5?), only got single master key, missing fog light trim, cracked chin spoiler (horizontal bottom of bumper cover), brake fluid is brown, engine air filter was literally crumbling due to age, and I'm riding on springs (suspension issues expected given age/mileage).
A lot of that list is just neglected maintenance, but the heavy hitter is the suspension. New Koni Sports ($570) are sitting in the garage awaiting installation. Since my front ride height measured below spec (mean - tolerance) while being 550# light per measurement procedure, I've also opted to replace the springs with OEM springs (~$800 including all new hardware). This is personal choice and may not be absolutely necessary, but being that out of spec says something's up with the springs. There are cheaper aftermarket spring options, but they all lower the car even more and my cracked bumper cover suggests it may already be too low depending on where it's driven.
Also, while fixing the stuck thermostat, I'll also be replacing the water pump, expansion tank, coolant flush, pulleys, and belts b/c you've got to touch most of those items to get to the 'stat anyway and general E46 tribal knowledge suggests they're probably nearing end of life. Add another $300-$400 to the tab.
So...caveat emptor. And I still love the car. :-)

Looking at buying a 2004 with 170000 miles. The check engine light was on and it was checked by a mechanic and said it needs a new secondary pump and valve but he said that it's not necessary at the moment, it won't affect the performance.... is this true? It has all maintenance records, selling for $6200. Is this worth it? Haven't seen a whole lot of zhp with this many miles.
